1. Acceptance of Terms

By accessing and using ragistry ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ragistry provides a RAG (Retrieval-Augmented Generation) chatbot platform that enables users to create interactive conversational interfaces based on their data sources. The Service includes:

  • Data ingestion from multiple sources (websites, documents, databases)
  • AI-powered chat interface with HTML response capabilities
  • Brandable widget for integration into your applications
  • Dashboard for management and analytics, including anonymised interaction analytics (click and hover events on chat blocks) for quality measurement
  • MCP (Model Context Protocol) tool integration

3. User Accounts

3.1 Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree not to use the Service to:

  • Upload or share content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Violate any intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any unauthorized commercial purposes
  • Transmit any viruses, malware, or other malicious code

5. Data and Privacy

5.1 Your Data

You retain all rights to the data you upload to the Service. By using the Service, you grant us a license to process, store, and use your data solely for the purpose of providing the Service.

5.2 Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. For more information, please refer to our Privacy Policy.

5.3 Processor Role for Embedded Widget

When you embed the ragistry Widget on a website you operate, you remain the controller of the personal data processed within your end-users' chat conversations. ragistry acts as processor under a Data Processing Agreement (Art. 28 GDPR) that is part of these Terms. You are responsible for providing your end-users with a compliant privacy notice, including a description of the click and hover interaction analytics collected by the Widget for quality measurement.

5.4 Sub-Processors

We rely on the sub-processors listed in Section 4 of our Privacy Policy (LLM providers, hosting, database, email delivery). By accepting these Terms you consent to our use of these sub-processors. We will notify you at least 30 days in advance of any material change to the sub-processor list, giving you an opportunity to object.

5.5 No Model Training on Your Data

We do not use your uploaded data, chat contents, or interaction analytics to train foundation models. Our LLM sub-processors are configured with model training on customer data disabled where such an option is contractually available.

6. Intellectual Property

6.1 Service Content

The Service and its original content, features, and functionality are owned by ragistry and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content

You retain ownership of any content you submit to the Service. However, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content as necessary to provide the Service.

7. Subscription and Payment

7.1 Fees

Certain features of the Service may require payment of fees. You agree to pay all applicable fees as described on our pricing page.

7.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

7.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law, ragistry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to indemnify and hold harmless ragistry, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
